Terms of Service

These Terms of Service (the “Terms”) are an agreement between [Legal Entity Name] (“we”, “us”, “ImportKit”), of [Registered Address], and the person or business installing or using the ImportKit application (“you”, “Merchant”).

By installing ImportKit on a Shopify store, or by using this website, you accept these Terms. If you are installing on behalf of a company or a client, you confirm you are authorised to accept these Terms for that store's owner. If you do not accept them, do not install the app.

1. What the service is

ImportKit is an embedded Shopify application that reads CSV files you upload and writes their contents to your Shopify store through Shopify's Admin API. It currently supports five kinds of import: metafield definitions, metafield values, metaobject definitions, metaobject entries and blog articles.

ImportKit is a tool that acts on your instruction. It decides nothing about the content of your data. You choose the file, you choose which column maps to which Shopify field, you choose how conflicts are handled, and you start the import. The app performs exactly the writes those choices describe.

2. Eligibility and your Shopify account

• You need an active Shopify store and the authority to install apps on it.
• You must be able to form a binding contract in your jurisdiction, and be at least 18 years old or the age of majority where you live.
• Your use of Shopify remains governed by your agreement with Shopify. Nothing here changes it.
• ImportKit is an independent application. We are not Shopify, we are not affiliated with Shopify Inc., and Shopify is not a party to these Terms.

3. Permissions you grant

Installing ImportKit grants it a set of Shopify API access scopes. The app requests write and read access to content, products, files, metaobjects, metaobject definitions, locations, markets, discounts, cart transforms, delivery customisations, payment customisations and validations. The full list is shown to you by Shopify on the install screen, and is documented in Permissions and owner types.

ImportKit deliberately does not request access to customers, orders, draft orders, gift cards or purchase options. It therefore cannot read or write your customer or order data at all.

You may revoke all access at any time by uninstalling the app from your Shopify admin.

4. Imports change your store and cannot be undone

This is the most important clause in this document, so it is stated plainly.

• An import creates or updates real data in your live store.
• ImportKit has no undo, no rollback and no delete. Once a row has been written, reversing it is manual work in your Shopify admin.
• Choosing the Update conflict mode overwrites existing values on the resources your rows target. The values that were there before are not retained by ImportKit.
• Blog article imports have no duplicate detection, so importing the same file twice creates the articles twice.

We provide a free, read-only pre-import check that reports what every row would do before anything is written, and we strongly recommend running it, and testing on a development store, before importing into a live store. Reviewing what an import will do is your responsibility. You accept the results of imports you start.

You are responsible for keeping your own backups of your store data. ImportKit is not a backup service and does not retain prior versions of anything it overwrites.

5. Your files and your data

You keep all rights to the files you upload and the data in your store. We claim no ownership of either.

You confirm that, for every file you upload:

• you have the right to upload it and to have its contents written to the store you are importing into;
• it does not infringe anyone's intellectual property, privacy or other rights;
• where it contains personal data, you have a lawful basis for processing it and for having us process it on your behalf.

How we handle uploaded files and what we store is described in the Privacy Policy, which forms part of these Terms.

We may access your stored import records where it is necessary to provide support you have asked for, to investigate a fault, or to comply with the law.

6. Credits, billing and refunds

How charging works

• ImportKit is free to install. Uploading files, mapping columns, downloading templates and running the pre-import check are all free and unmetered.
• Imports are paid for with credits. One credit is consumed for each CSV row that is successfully written to your store — that is, each row that creates or updates something.
• Credits are sold in one-time packs. Prices are listed on the pricing page and shown in the app before purchase.
• Purchases are processed by Shopify as one-time application charges. You approve each charge on Shopify's own confirmation screen, and it appears on your Shopify invoice. We never see or handle your payment details.
• This is not a subscription. Nothing recurs and there is nothing to cancel.
• Credits do not expire. They are held against the store that purchased them and are not transferable between stores.

What is not charged

A credit is reserved immediately before a row is sent to Shopify and released back to your balance if the row is not written. Rows that are skipped because the resource already exists, rows reported as conflicts, rows that fail validation, rows Shopify rejects, and rows interrupted before their outcome is known are all refunded automatically. An import that fails entirely costs nothing.

Refunds

Because credits are consumed only when work is actually performed, packs are generally non-refundable once purchased. We will nonetheless refund a purchase where credits were consumed as a result of a fault in ImportKit, or where a purchase was clearly made in error and the credits are unused. Contact support@importkit.app from the store in question with the details. Refunds, where agreed, are issued through Shopify.

Price changes

We may change pack prices or the number of credits a pack contains. Changes apply only to purchases made after the change. Credits already on your balance keep their value: one credit still imports one row.

7. Acceptable use

You agree not to:

• use ImportKit to write data you have no right to publish or distribute;
• import content that is unlawful, defamatory, deceptive, or that infringes third-party rights;
• attempt to circumvent the credit system, the app's permission checks, or Shopify's API limits;
• probe, scan, overload or interfere with the service or its infrastructure, or attempt to access another merchant's data;
• reverse engineer, resell, sublicense or white-label the service except as expressly agreed in writing;
• use the service to build a competing product from information you obtain about how it works.

We may suspend or terminate access where we reasonably believe these restrictions have been breached, or where continued use puts other merchants, our infrastructure, or our standing with Shopify at risk.

8. Availability, changes and support

We aim to keep ImportKit available and working, but we do not commit to a specific uptime level. Imports run as background jobs on our servers and depend on Shopify's Admin API. Shopify outages, rate limits, API version changes and maintenance on either side can delay or interrupt an import. Interrupted jobs are marked as such and can be resumed with Retry.

We may add, change or remove features, and we may change the file size, row count and other limits described in the limits reference. Where a change would materially reduce what you can do, we will give notice in the app or by email where we hold an address for you.

Support is provided by email at support@importkit.app on a reasonable-efforts basis. Include your store domain and the job number to get a useful answer quickly.

9. Third-party services

ImportKit depends on Shopify, and on the hosting and database infrastructure listed in the Privacy Policy. We are not responsible for those services' own acts, omissions or outages, and their terms apply to their part of the arrangement.

10. Intellectual property

ImportKit, including the application, this website, its documentation, its templates and its name and logo, belongs to us and is protected by intellectual property law. These Terms grant you a limited, non-exclusive, non-transferable, revocable right to use the app on stores you control, for as long as these Terms are in force. No other rights are granted.

The CSV templates and column guides the app generates are yours to use, modify and share freely.

Shopify, Shopify Plus and related marks belong to Shopify Inc. and are used here only to describe compatibility.

11. Feedback

If you send us suggestions, bug reports or feature ideas, we may use them without restriction or compensation. You are not obliged to send us anything, and we will not treat feedback as confidential unless you tell us it is before sending it.

12. Disclaimer of warranties

ImportKit is provided “as is” and “as available”. To the fullest extent the law allows, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We specifically do not warrant that:

• the service will be uninterrupted, timely or error-free;
• every import will complete, or complete within a given time;
• the pre-import check will predict every outcome — it reports what your store looks like at the moment it runs, and Shopify remains the final authority on what it will accept;
• data written to your store will meet your expectations, if the file or the mapping did not describe what you intended.

Some jurisdictions do not allow the exclusion of certain warranties. Where that applies to you, the exclusions above apply only as far as permitted.

13. Limitation of liability

To the fullest extent the law allows, neither party is liable to the other for indirect, incidental, special, consequential or exemplary damages, or for lost profits, lost revenue, lost sales or lost or corrupted data, however caused, even if advised of the possibility.

Our total aggregate liability arising out of or relating to these Terms or the service is limited to the greater of (a) the total amount you paid us for credits in the twelve months before the event giving rise to the claim, or (b) [US$50].

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud, or for death or personal injury caused by negligence.

14. Indemnity

You will defend and indemnify us against claims, losses and reasonable costs arising from: the content of files you import; your infringement of a third party's rights; your breach of section 7; or your failure to hold a lawful basis for personal data you asked us to process.

15. Term and termination

These Terms apply from the moment you install ImportKit until the app is uninstalled or access is terminated.

• You may terminate at any time by uninstalling the app from your Shopify admin. No further charges are possible after that, since charges only occur when you approve a pack.
• We may terminate or suspend access on notice if you breach these Terms, or without notice where the breach is serious or unlawful. We may also discontinue the service entirely on reasonable notice.

On uninstall we delete your Shopify session and access token and stop processing. Import records are handled as described in the Privacy Policy's retention section, and are deleted on Shopify's shop redaction request or on your written request. Unused credits are not refunded on voluntary uninstall, but they remain on the store's balance if you reinstall later.

Sections 5, 10, 12, 13, 14 and 17 survive termination.

16. Changes to these Terms

We may update these Terms. The “last updated” date at the top will change, and where the change is material we will give notice in the app or by email before it takes effect. Continuing to use ImportKit after a change takes effect means you accept the updated Terms. If you do not, uninstall the app.

17. Governing law and disputes

These Terms are governed by the laws of [State/Country], without regard to its conflict-of-laws rules. The courts of [Jurisdiction] have exclusive jurisdiction, except that either party may seek injunctive relief in any competent court to protect its intellectual property or confidential information.

Before starting formal proceedings, please contact us and give us 30 days to resolve the issue. Most problems are faster to fix by email.

18. General

• Entire agreement. These Terms and the Privacy Policy are the whole agreement between us about the service.
• Severability. If a provision is unenforceable, the rest stays in force.
• No waiver. Not enforcing a provision once does not waive it.
• Assignment. You may not assign these Terms without our written consent. We may assign them as part of a merger, acquisition or sale of assets, on notice to you.
• No agency. Nothing here creates a partnership, agency or employment relationship.
• Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control.
